Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PALTECH’s website at paltechz.com, our application at app.paltechz.com, and related services (together, the “Services”), provided by PALTECH (“PALTECH,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

PALTECH provides a field-service operations platform that connects companies that need field work (“Companies”) with technicians who perform it (“Technicians”), and provides tools for site surveys, work-order dispatch, scheduling, reporting, and payments. PALTECH is a platform provider; we are not a party to the service agreements between Companies and Technicians, and we do not perform field work ourselves.

2. Eligibility and accounts

The Services are intended for business use by authorized personnel, and access is currently invite-only. You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.

4. Work orders, jobs, and payments

Companies and Technicians are solely responsible for the work orders they create, accept, perform, and pay for, including the accuracy of scope, pricing, schedules, and deliverables. Fees, payouts, and any platform charges are as presented in the Services. Payments may be processed by third-party payment processors subject to their terms. You are responsible for any taxes associated with your use of the Services.

5. Your content

You retain ownership of the data and materials you submit — including surveys, reports, photos, and other deliverables (“Your Content”). You grant PALTECH a worldwide, non-exclusive license to host, process, display, and share Your Content as necessary to operate and provide the Services, including sharing between the relevant Company and Technician. You are responsible for having the rights necessary to submit Your Content and for its accuracy and lawfulness.

6. Intellectual property

The Services, including all software, design, text, and trademarks (other than Your Content), are owned by PALTECH or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Third-party services

The Services rely on and may link to third-party services (such as authentication, hosting, mapping, and payment providers). Your use of those services may be subject to their own terms, and we are not responsible for them.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SURVEY DATA OR RESULTS WILL BE ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALTECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO PALTECH FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold PALTECH harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access at any time if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Changes to the Services and Terms

We may modify the Services or these Terms. When we change these Terms, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the United States and the state in which PALTECH is organized, without regard to conflict-of-laws principles, and you agree to the exclusive jurisdiction of the courts located there, except where prohibited by law.
